Code of Ethics and Rules of Conduct
It is important that you read the Ceylonika Code of Ethics (the "code") and the Rules of Conduct (the "rules") below, as they form an integral part of the terms of the Consultant application form. A Ceylonika Consultant must comply with the code and rules and any amendments to them that have been communicated to the Ceylonika Consultant.
Ceylonika reserves the right to terminate at any time, and with immediate effect, the membership of any Ceylonika Consultant who has provided false information on the Consultant application form or who is violating the code or the rules. Terminated Ceylonika Consultants lose all rights and privileges that accompany the membership, including their network. The Code and the Rules are there for your protection, to ensure that all fellow Ceylonika Consultants maintain the same high standards. In line with Ceylonika ethical standards, the Ceylonika Consultants are expected to, and shall comply with any and all legal requirements of the country where they operate their Ceylonika business even if certain obligations are not restated in the Code or the Rules.
THE CEYLONIKA CODE OF ETHICS
As a Ceylonika Consultant, I agree to conduct my Ceylonika business according to the following principles:
- I will uphold and follow the Rules as laid out in this official Ceylonika Policy Manual and other Ceylonika literature. I will observe not only "the letter" but also "the spirit" of the Rules.
- My guiding principle for doing business with anyone I meet in my capacity as a Ceylonika Consultant is to treat them as fairly as I would like to be treated myself.
- I will present the Ceylonika products, the Ceylonika earning opportunities, the related trainings and the other opportunities and benefits offered by Ceylonika to my customers and Consultants in an honest and truthful manner. Whether verbal or in writing, I will make only such claims related to the product, the earnings and the other opportunities that are mentioned in the official Ceylonika literature (including Appendix 1).
- I will be courteous and prompt in servicing and taking orders from my customers, as well as in the handling of complaints. I will follow the procedures outlined in the official Ceylonika literature for replacement of products.
- I will accept and carry out the different prescribed responsibilities of a Ceylonika Consultant (and those of a Sponsor and Ambassador (and higher level) when I progress to those levels of responsibility) as laid out in the official Ceylonika Literature.
- I will conduct myself in such a manner as to reflect only the highest standards of integrity, honesty and responsibility.
- I shall not in any circumstances use the Ceylonika network for marketing products other than those approved by Ceylonika. I shall respect the direct-to consumer method of distribution and therefore not sell through any retail outlets of any nature.
- I will respect the laws and regulations of the country where I conduct my Ceylonika business.
- I understand that compliance with this Code and the Rules is a condition of my membership with Ceylonika.
- To sell and deliver products to ultimate consumers only. Consultant recognizes the importance of providing the best possible service to customers. It is understood that Ceylonika is a direct to Consumer Company whose marketing plans and success are based upon Consultant personally selling Ceylonika products directly to consumers. For these reasons, Consultant agrees to present and sell Ceylonika products using direct-to-consumers methods only and not in any other manner whatsoever.
- Consultant agrees to present and sell Ceylonika products using direct-to-consumers methods only and not to sell to, sell in, demonstrate or display Ceylonika products in any retail outlet of any nature including any retail/ecommerce website, whether in Sri Lanka or abroad.
- Not to sell complimentary promotional material provided by Ceylonika.
- That all orders submitted are subject to acceptance by Ceylonika.
- The Consultant is not authorized to incur any debt or other obligation or commitment on behalf of Ceylonika.
- To accept and comply with Terms of Consultant Application Form and Ceylonika Success Plan. It is understood that the Plan forms an integral part of this Agreement and may be revised from time to time.
- Ceylonika shall give each Consultant who qualifies (under Ceylonika rules set out in the Success Plan) a Performance Discount based on the volume of purchases from Ceylonika in each month. This discount will normally be calculated and accounted for in respect of purchases in a calendar month at the month end. However, Ceylonika may withhold the Performance Discount which is otherwise payable to any Consultant if there is any outstanding in the Group in respect of any period beyond the credit period or Ceylonika suspect that payment may not be received against the sales made during any period or for any other good reason at the sole discretion and judgement of Ceylonika and may additionally forfeit the same in appropriate cases at the sole discretion and judgement of Ceylonika. Consultants should ensure compliance (as applicable) with all the TAX laws with respect to the aforesaid Performance Discount.
- INCENTIVES:
- That every Consultant agrees and authorizes Ceylonika on its behalf to allocate a portion of Incentive (arising out of the activities within the Group) to other Consultants as per the Success Plan and hereby further assigns all right and interest in such allocated Incentive given to other Consultant who may be so entitled.
- As per the requirement of all TAX laws, Consultant would be required to prepare the necessary documentation and shall undertake the necessary compliances, as applicable.
- This Incentive will normally be calculated and accounted for in respect of purchases in a calendar month at the month end. However, Ceylonika may withhold the Incentive which is otherwise payable to any Consultant if there is any outstanding in the Group in respect of any period beyond the credit period or Ceylonika suspect that payment may not be received against the sales made during any period or for any other good reason at the sole discretion and judgement of Ceylonika and may additionally forfeit the same in appropriate cases at the sole discretion and judgement of Ceylonika.
- In the event that the sum due to an Consultant is less than the limit specified by Ceylonika from time to time, the Consultant hereby irrevocably authorizes Ceylonika to apply or credit such sum towards any future purchase made by the Consultant.
- That Ceylonika does not compensate anybody for simply recruiting or for mere act of recruitment.
- To be bound by the valuation of all transactions as set out in the documents issued by Ceylonika at each month end or otherwise.
- To settle all account with Ceylonika in a timely manner, failure to do so will incur additional charges. Every Consultant agrees and authorizes Ceylonika to write back amount in the account with Ceylonika after 10 months from the date of last purchase.
- To participate in the electronic clearance service (ECS)/online payment and undertakes to inform immediately of any subsequent changes related to the bank details. The Consultant would not hold the Company responsible if the trade discount payment is delayed for the reasons beyond the control of Ceylonika.
- To furnish Taxpayer Identification Number immediately on receipt of request from Ceylonika & agree to accept a certificate towards withholding of taxes by Ceylonika for the financial year. The Consultant further agree & authorizes Ceylonika to debit its account with the tax amount as per the relevant tax provisions of the Country.
- To explain and inform about the general conditions of Ceylonika to the Consultant introduced by him/her and shall ensure that the same has been understood by the Consultant introduced by her/ him.
- No Consultant shall use the Ceylonika network for marketing products or schemes which are not officially approved by Ceylonika.
- You expressly agree to receive commercial communications about Ceylonika products and offers by email and text message in registered email id and phone numbers.
- I confirm that I will personally update and inform all those who I introduce to Ceylonika business, about Ceylonika business activities, policies and compensation plan as provided in the Success Plan and ensure that such person treats this as basis of joining as Ceylonika Consultant.
1. DEFINITIONS
- "Ceylonika Consultant" shall for the purpose of this document include any Ceylonika Consultant irrespective of level and level of Ceylonika Success plan (including Business Coach, Ambassador s and higher levels).
- "Personal Online Beauty Store" shall refer to a website designed, issued and hosted by Ceylonika for the benefit of an Ceylonika Consultant in the selected markets.
- "Ceylonika" in this document refers to the Ceylonika Cosmetics Private Limited with which you entered the Consultant Application Form, unless otherwise stated.
- "Line of Sponsorship" shall include the Ceylonika Consultant, his/her Sponsor, and so forth, with the Line ending with Ceylonika.
- "Personal Group" shall refer to all Ceylonika Consultants sponsored directly and indirectly by a Ceylonika Consultant but shall not include the directly sponsored 21% Consultants or their downlines.
- "Group" shall refer to the entire downline, including 21% Ceylonika Consultants and their downlines.
- "The Ceylonika Literature" shall mean the Success Plan (containing this Policy Manual), the Product Catalogues, Ceylonika Starter Kit literature, the Newsletter and any other information printed or published on the official Ceylonika website. if there is any conflict between this Code and Rules and Ceylonika Literature / terms and conditions, the latter will prevail.
- "Sponsor" shall mean the person who has registered a new person to Ceylonika Consultants.
- "Immediate family member" shall refer to Ceylonika Consultant's spouse, children, siblings and parents
- "Performance Discount" shall mean an amount you get on your own sales based on your title as per the Success Plan.
- Bonus shall mean an amount you get on the Group sales as per the Success Plan.
Words beginning with a capital letter, but which are not defined herein, shall have the same meaning as in the previous sections of the Success Plan.
2. MEMBERSHIP
- To become a Ceylonika Consultant a candidate should as a general rule be sponsored by an existing registered Ceylonika Consultant. Under certain circumstances, Ceylonika can assign a prospective Ceylonika Consultant to any network.
- An individual may only have one Ceylonika membership;
- Membership is conditional on submission of relevant documents in the prescribed form. Ceylonika reserves the right to refuse any application or re-application.
- An applicant must be of the age of legal capacity to be an Ceylonika Consultant.
- A Ceylonika Consultant shall not require Consultants or prospective Consultants to assume unreasonably high training fees and fees for promotional materials. Any fees charged to an Ceylonika Consultant shall relate directly to the value of materials, products or services provided in return.
- Ceylonika observes the rules of the applicable local legislation of the countries where it operates, regarding the term during which a Ceylonika Consultant may withdraw from their membership and receive back from Ceylonika any money paid for any starter materials and products ("Cooling-Off Period").
- The Ceylonika Consultants may resign their membership at any time after the expiration of the Cooling-off Period by giving written notice to Ceylonika. In such cases Ceylonika is under no obligation to make any of the repayments mentioned in 2.6 above.
- Should a Ceylonika Consultant's spouse wish to become a Ceylonika Consultant, both spouses must either be sponsored jointly under the same membership (in the form of partnership) or if separately below the wife or husband who first became a Ceylonika Consultant. If the spouse joins under a separate membership any cash award earned by the spouse will be deducted from any higher cash award earned by the spouse who joined first - if such cash award is a result of the termination of membership of the spouse joining second for any reason.
- Former Ceylonika Consultants (or spouses of former Ceylonika Consultants) may apply for new membership under the following conditions:
- Immediately, in case of auto termination due to failure to place BP order within 180 days from date of registration.
- The new application must specify that it is being made under this rule.
- A former Ceylonika Consultant may apply immediately for becoming an Consultant again, without specifying that he/she was a former Ceylonika Consultant, if he/she has at least 12 months of inactivity following a termination of membership.
- A Senior Business Coach (and above) may not represent (and/or be a member of) any other direct selling company. It is also stated that where the Consultants (below the level of Senior Business Coach) join other companies, they shall not use the Ceylonika network for market products or schemes which are not officially approved by Ceylonika.
- If the spouse or/and an immediate family member of a Senior Business Coach (and any higher level) is a representative and/or a member of any other direct selling company, the spouse/family member is not allowed to participate in any Ceylonika meetings and events, and the spouse's/family member's activities must be kept separate from Ceylonika. The Senior Business Coaches (and above) must inform Ceylonika if the spouse/family member is a representative and/or a member of any other direct selling company.
- If an immediate family member of a Ceylonika Consultant is a representative and/or a member of any other direct selling company, Ceylonika Consultant must inform Ceylonika if the immediate family member is a representative and/or a member of any other direct selling company and obtain the consent of Ceylonika to continue the membership of Ceylonika Consultant thereafter.
- Ceylonika reserves the right to suspend a Ceylonika Consultant's membership for up to 12 months with immediate effect, pending investigation of violation of rules in this document.
- An Immediate Family member like son, daughter, mother, father, brother, sister and In-laws of an existing Consultant, shall not join Ceylonika in a different network unless such a joining is approved by Ceylonika on a written application from such relative who wishes to join.
- The Consultant shall not sponsor, engage or employ any person who is an Consultant in any other Group other than the Group of the former.
3. MAINTAINING LINES OF SPONSORSHIP
- Ceylonika Consultants are not allowed to re-register under a different line of sponsorship. If they do, they are liable to lose their entire network to their original Sponsor. They are only allowed to re-register after termination, see further in 2.10.
- The transfer of membership from one Sponsor to another is only possible in special cases and at the sole discretion of Ceylonika.
- Transfer of a Personal Group is not allowed.
- Ceylonika Consultants who wish to transfer their membership may be allowed to do so, but only to their closest relatives (at the discretion of Ceylonika). A letter requesting such a transfer must be sent to Ceylonika. Ceylonika Consultants who have transferred their membership under this rule may apply for membership again if at least six months have elapsed since their last Membership was transferred.
- In case of a Ceylonika Consultant's death, the Membership will be terminated within three months after the day of the death provided that no application for transferring of the Membership is made by the next of kin. Upon termination, all pending payments to the deceased Ceylonika Consultant, after setting off the payments due to Ceylonika by the Consultant, will be made to the authorised executor/ administrator appointed by a competent court or the heir(s) /next of kin of the Ceylonika Consultant. Ceylonika reserves the right to request documents proving the authorisation of the executor/ administrator or heir(s)/ next of kin as a condition of the payment.
4. RESPONSIBILITIES OF AN CONSULTANT
General Responsibilities
- A Ceylonika Consultant may not place orders in the name of another Ceylonika Consultant, without that Ceylonika Consultants written approval.
- Ceylonika Consultants shall comply with all laws, regulations and codes of practice including any applicable laws applying to the operation of their membership, including with any tax laws and regulations regarding tax registration and filing. The Ceylonika Consultants shall not engage in any activity which may bring either them or Ceylonika into disrepute.
- Ceylonika Consultants must take appropriate steps to ensure the protection of all private information provided by a customer, a potential customer, another Ceylonika Consultant, in accordance with the local laws that apply to privacy and data protection.
Responsibilities towards customers
- Ceylonika Consultants shall not use misleading, deceptive or unfair sales practices.
- From the beginning of the contact with a consumer, the Ceylonika Consultant shall identify her-/himself and explain the purpose of her/his approaching a customer or the purpose of the occasion. The Ceylonika Consultant shall ensure full transparency of her/his identity as Ceylonika Consultant in any related communication, whether by email, a website, social media page etc. Clear name and contact information as well as information that the sender is not a Ceylonika official representative must be provided. The word "Independent" shall always be added before "Ceylonika Consultant" on any identity representation such as e-mail signatures, business cards, on website, social media page and the like.
- Ceylonika Consultants shall offer their customers accurate and complete product explanations and demonstrations regarding price and, if applicable, credit terms; terms of payment; a cooling-off period, including return policies; terms of guarantee; after-sales service; and delivery dates. Ceylonika Consultants shall give accurate and understandable answers to all questions from customers.
- To the extent claims are made with respect to product efficacy, Ceylonika Consultants shall make only those verbal or written product claims that are authorized by Ceylonika.
- For all product sales to its customers Ceylonika Consultants shall deliver or make available to the customer a product order form which: identifies Ceylonika, the Ceylonika Consultant making the sale including their name, address and telephone number, all material terms of the sale, terms of guarantee and/or warranty, details and limitations or after-sales service, the duration of the guarantee and the remedial action available to the customer.
- Ceylonika Consultants shall not use any testimonial or endorsement that is unauthorized, untrue, obsolete or otherwise inapplicable, unrelated to the offer or used in any way likely to mislead the customer.
- Ceylonika Consultants shall not use comparisons which are misleading. Points of comparison shall be based on facts which can be substantiated. Ceylonika Consultants shall not unfairly denigrate any other company, business or product, directly or by implication. Ceylonika Consultants shall not take unfair advantage of the goodwill attached to the trade name and symbol of another company, business or product.
- When a customer requests the Ceylonika satisfaction guarantee to be honoured the Ceylonika Consultant shall offer the customer the choice of a full refund of the purchase price or full credit for exchange with the same or another Ceylonika product. The return/ Guarantee Excellence Claims Policy shall be clearly communicated to customers.
- The Ceylonika Consultant will make personal, telephone or electronic contact in a reasonable manner and during reasonable hours to avoid intrusiveness. The Ceylonika Consultant shall discontinue a demonstration or sales presentation upon the request of the consumer.
- The information the Ceylonika Consultant gives to the consumer shall be provided in a clear and comprehensible manner with due regard to the principles of good faith in commercial transactions and the principles governing the protection of those who are unable, pursuant to national legislation, to give their consent, such as minors.
- Ceylonika Consultants shall not abuse the trust of individual consumers and shall respect the lack of commercial experience of consumers and shall not exploit a consumer's age, illness, mental or physical infirmity, credulity, lack of understanding or lack of language knowledge.
- Ceylonika Consultants shall not induce a person to purchase products based on the representation that the customer can reduce or recover the purchase price by referring prospective customers to the Ceylonika Consultant for similar purchases, if such reductions or recovery are contingent upon some future event.
- Ceylonika Consultants shall fulfill customer orders in a timely manner.
Responsibilities towards other Ceylonika Consultants
- Ceylonika Consultants shall not steal an applicant from other Ceylonika Consultants, nor interfere by soliciting Ceylonika Consultants in the line of sponsorship of another Ceylonika Consultant.
- A Ceylonika Consultant shall not misrepresent the actual or potential sales or earnings of Ceylonika Consultants. Any earnings representations and sales figures must be: (a) truthful, accurate, and presented in a manner that is not false, deceptive or misleading, and (b) based upon documented and substantiated facts in the relevant market. Potential Ceylonika Consultants must: (c) be informed that actual earnings and sales will vary from person to person and will depend upon the skills of the seller, the time and effort put in and other factors and; (d) be provided with sufficient information to enable a reasonable evaluation of the opportunity to earn income.
- A Ceylonika Consultant shall not charge other Consultants or prospective Consultants fees for any non-Ceylonika developed/sanctioned materials or services except fees to cover expenses directly related to non-mandatory training or meetings conducted by the Ceylonika Consultant. Any marketing materials developed by Consultants must be consistent with Ceylonika policies and procedures. Ceylonika Consultants who sell approved, legally allowed promotional or training materials to other Ceylonika Consultants: (i) shall only offer materials which comply with the same standards to which Ceylonika adheres, (ii) be prohibited from making the purchase of such materials a requirement of other Ceylonika Consultants; (iii) provide sales aids at a reasonable and fair cost, without any significant profit to the Ceylonika Consultant, equivalent to similar material available generally in the marketplace; and (iv) offer a written return policy that is the same as the return policy of Ceylonika.
- Ceylonika Consultants shall contact other Ceylonika Consultants only in a reasonable manner and during reasonable hours to avoid intrusiveness.
- Ceylonika does not impose any conditions for minimum purchases, whether in quantities or in value, on its Consultants. Similarly, a Ceylonika Consultant shall not compel or force those he/she sponsors to order through him/ her, order any minimum quantities or maintain stock of products. All Ceylonika Consultants may order any quantities directly from Ceylonika but handling and courier fees may apply depending on order size. It is up to the individual Ceylonika Consultant's judgment to determine if he/she should keep any stock, reflecting the anticipated sale / consumption. Ceylonika Consultants shall not require or encourage other Ceylonika Consultants to purchase unreasonable amounts of inventory or sales aides. A Ceylonika Consultant shall not purchase only such products and in such value or quantity that can be foreseen to be sold to consumers or consumed within a reasonable period of time.
- Ceylonika Consultants shall not use the Ceylonika network for marketing materials, products or schemes which are not officially approved by Ceylonika and that are inconsistent with Ceylonika's policies and procedures.
- Ceylonika Consultants shall not systematically entice or solicit direct sellers of another company.
- Ceylonika Consultants shall not unfairly denigrate another company's products, its sales and marketing plan or any other feature of another company.
- The Ceylonika Consultants do not have any employment relationship with Ceylonika. When presenting the Ceylonika Business Opportunity to others, the Ceylonika Consultants must clearly state the independent character of this business and the fact that no employment with Ceylonika exists.
- The Ceylonika Consultants have no authority to bind or assume obligations on behalf of Ceylonika. They shall indemnify Ceylonika in respect of any costs or damages arising from any noncompliance to these Rules.
- A Ceylonika Consultant may not place orders in the name of another Ceylonika Consultant, without that Ceylonika Consultant's prior written approval.
- In building their Personal Group, the Ceylonika Consultants shall ensure that all new Ceylonika Consultants will follow the credit terms, if credit is offered.
- In becoming a Sponsor, the Ceylonika Consultant shall ensure that he/she trains and motivates her personally sponsored Ceylonika Consultants.
- A Ceylonika Consultant may not be involved in interviews regarding, or referring to Ceylonika with any media, whether by television, internet, radio, magazines etc. nor utilise any advertising media (including viral advertising as SMS, internet etc) for the purposes of marketing of her Ceylonika business without Ceylonika's prior written consent.
- The Ceylonika Consultants shall not be involved in social media dialogues which misrepresent or give incorrect or misleading information about Ceylonika, its products or services, or may generally lead to loss of reputation by Ceylonika, please see below the Social Media Dialogue - 10 Golden Rules.
- The Ceylonika Consultants shall not use misleading, deceptive and/or unfair trade practices including but not limited to unfair recruiting practices, misrepresentation of actual or potential sales or earnings, business opportunity, and advantages of direct selling to any prospective direct seller, in their interaction with prospective direct seller.
- The Ceylonika Consultants shall not make any factual representations to a prospective direct seller that cannot be verified or make any promise that cannot be fulfilled.
- The Ceylonika Consultants shall not knowingly make, omit, engage, or cause, or permit to be made, any representation relating to the direct selling operation, including remuneration system and agreement between Ceylonika and itself which is false and / or misleading.
- The Ceylonika Consultant shall not require or encourage direct sellers recruited by the first mentioned direct seller to purchase Ceylonika Products in unreasonably large amounts.
- The Ceylonika Consultant shall not provide any Ceylonika Literature and / or training materials not restricted to collateral issued by Ceylonika, to a prospective and / or existing direct seller or float any scheme which has not been approved by Ceylonika.
- The Ceylonika Consultant shall not require prospective or existing direct Sellers to purchase any Ceylonika Literature or training materials or sales demonstration equipment.
5. OTHER RULES AND POLICIES
- Senior Business Coach (and above) may not represent (and/or be a member of) any other direct selling company.
- Spouse of a Senior Business Coach (and above) may not represent (and/or be a member of) any other direct selling company.
- There are no exclusive territories or franchises available under the Ceylonika policy. No Ceylonika Consultant has the authority to grant, sell, assign or transfer such a territory or franchise. Every Ceylonika Consultant is free to conduct his/her business in any area of the country of registration.
- A Ceylonika Consultant is independent of Ceylonika. The only level which may be used on business cards, other printed materials or in email communication is "Independent (Beauty) Consultant" or "Ceylonika Independent (Beauty) Consultant" and when qualified "Independent Beauty Coach" and "Independent Beauty Ambassador".
- Promotional materials, Ceylonika Consultant's Personal Home Pages and any social media applications, e.g. on Facebook, provided by Ceylonika can be used as specified without further approval. It is understood that the Ceylonika Consultants cannot register or host a website or homepage with the domain name including the word "Ceylonika". The Ceylonika Consultants can drive traffic to official Ceylonika websites, blogs walls and the like. Ceylonika reserves the right to pre-approve the material that will be published. The policy for online presence of Ceylonika Consultants is further described in the Consultant Online Policy below (Appendix 2).
- Ceylonika trademarks, logos and name are the property of Ceylonika Cosmetics Private Limited and may not be used by the Ceylonika Consultant, neither in printed materials nor published on the Internet, without prior written consent from Ceylonika. If such consent is obtained, trademarks and logos must be used exactly as stated in the Ceylonika guidelines.
- No Ceylonika Consultant may produce or procure from any source other than Ceylonika any item upon which the trademarks or logos are printed or displayed, unless approved by Ceylonika in writing.
- All Ceylonika printed material, videos, photographs, design are protected by copyright and may not be reproduced in whole or in part by anyone, neither in printed materials nor published on the Internet, without prior written approval from Ceylonika. When copyrighted material is legitimately used it is mandatory that reference to the Ceylonika copyright is made in a visible and unambiguous way.
- No Ceylonika Consultant shall sell to, sell in, demonstrate, or display Ceylonika products in any retail outlet, web shop, auction platform such as Daraz, Ikman or the like. No Ceylonika literature may be sold or displayed in such retail outlets. Establishments which technically are not retail outlets, such as beauty parlours, may be used as venues to display, but not sell the products.
- The contents of the Ceylonika websites such as text, graphics, photographs, designs and programming are also copyright protected and may not be utilised for any commercial use without prior written approval from Ceylonika.
- Spamming (the abuse of electronic messaging systems to indiscriminately send unsolicited bulk messages) is strictly prohibited. A Ceylonika Consultant shall limit the number of promotional emails sent to end-customers so that any individual recipient does not receive more than one message per week. These messages cannot be sent on behalf of Ceylonika and therefore full responsibility for contents lies on the sender.
- Under no circumstances is any person authorised to repackage or in any way alter the packaging or labelling of the products. Ceylonika products are to be sold in their original packaging only.
- The Ceylonika products do not cause damage or injury if they are used for their intended purpose and in accordance with instructions provided. Ceylonika carries product liability insurance on its products. The insurance covers injury or damage where a faulty product is involved but does not cover careless or negligent application or improper use of a product.
- Ceylonika reserves the right to deduct, at any time, any overdue invoices from any Performance Discount or Bonus due for payment to the Ceylonika Consultant.
- Ceylonika has the right to change its prices and range without prior notice. Ceylonika will not give a Performance Discount, Bonus or any other compensation for any losses suffered due to price changes, range changes or products being out of stock.
- If requested upon termination of a Consultant's relationship with Ceylonika with an agreement with the Ceylonika management, Ceylonika agrees to repurchase products from the Consultant, except in case of violation of the terms. Returns must be made within 2 weeks from date of purchase, and
- will be refunded at 90% of the original net price paid after deduction of any Trade Discount, Incentive or Bonus paid to the network, and
- items returned must be currently marketable Ceylonika inventory including any Ceylonika produced promotional materials, sales aids or kits,
- have not been used, opened or tampered with in any way; and
- have not passed the expiry date; and
- are still marketed by Ceylonika in its catalogues.
- If a Ceylonika Consultant in any way is involved, legally or otherwise, in any dispute or activity that may involve or negatively affect Ceylonika or its reputation, such Ceylonika Consultant must immediately inform Ceylonika.
- Ceylonika reserves the right to expand or revise the Ceylonika Success Plan, qualification criteria, or the Code and Rules with immediate effect.
Ceylonika shall provide Cash Award as eligibility criteria communicated subject to full compliance with the Terms including but not limited to Ceylonika's Code of Ethics, other rules and policies and responsibilities of Ceylonika's Ambassador s as mentioned below in Clause 6.
6. RIGHTS AND RESPONSIBILITIES OF AMBASSADOR S AND ANY HIGHER LEVELS AS PER CEYLONIKA SUCCESS PLAN
In addition to the general rules above that apply to all Ceylonika Consultants, the following rules apply specifically to Ambassador s and up. Violation of any of these special rules will result in immediate loss of Ambassador s (and higher level) status and any underlying privileges - including any related remuneration - and may even result in termination of membership.
- As an Ambassador (and higher level) you must service your Personal Group Consultants during each Catalogue Period by:
- Recruiting and continuously developing your Personal Group.
- Assisting, guiding and motivating the members of the Personal Group.
- Conducting periodic meetings to train, motivate, set goals and to follow up.
- Training your downline Ceylonika Consultants to best conduct their Ceylonika business.
- Maintaining frequent communication, informing about meeting dates, venues, product news, training sessions, etc.
- Participating in all seminars and meetings organised by Ceylonika.
- Enforcing the Code and the Rules and leading by example.
- Attending business meetings with Ceylonika that you are called upon to attend by your Area Sales Manager.
- An Ambassador (and higher levels) must adhere to clause 2.11 and 2.12.
- In case of an Ambassador (and higher levels)'s death, a Membership may in certain cases and at the sole discretion of Ceylonika be inherited by the next of kin of the deceased and provided that the next of kin can make plausible that he/she will be able to fulfil all requirements of a Ambassador (and higher) as listed in 6.1 above. Written claim for the Membership must be made within 3 months from the date of the death. In the absence of any such claims, the Membership will be terminated.
- An Ambassador (and higher level) must follow any additional rules or instructions communicated in writing by Ceylonika from time to time.
7. COMPLAINT HANDLING PROCEDURE
Any complaint based on breaches of the Code of Ethics or Rules of Conduct shall be addressed to the local Ceylonika sales organisation and/or the code of ethics committee of Ceylonika Cosmetics private limited. Appendix 1 - Communication Guidance
WHEN APPROACHING A CUSTOMER/POTENTIAL CEYLONIKA MEMBER DO:
- DO: Identify yourself and Ceylonika
- DO: Explain the purpose of your solicitation and type of products Ceylonika has
- DO: Try to answer any and all questions in a fair, truthful and understandable way
- DO: Only make claims about the products that are authorized by Ceylonika. Refer your contact to the Ceylonika website where she can read more about the products and the claims; specifically, draw her attention to the Ceylonika complaint handling procedures
- DO: Respect the privacy and other personal restraints the person may be under (e.g. time, place, physical condition)
- DO: Stop any explanation (and leave) if asked to do so
- DO: Only collect and/or store personal data of customers or potential customers when it is required and ensure you handle and protect that personal data in accordance with local laws on privacy and personal data protection
- DO: Whenever you are selling Ceylonika products:
- Inform the customer about the correct price of the products, terms of payment and delivery date
- Give your customer a written order form at the time of sale
- Inform the customer about the right to return and get a refund for products delivered which are re-sellable as new
- Explain Ceylonika's product guarantees, after-sales service and complaint handling procedures
- DO: When presenting to potential Consultants:
- Inform them that actual earnings and sales will vary from person to person and will depend upon the skills of the seller, the time and effort put in and other factors
- Provide them with sufficient information at the time of sale:
- Name, Address, registration number or enrollment numbers, identity proof and telephone number of the direct seller and details to enable a reasonable evaluation of direct selling entity
- A description of the goods or services to be supplied
- Explain to the customer about the goods and replacement procedure in case of defect
- The order date, delivery date, the total amount to be paid by the consumer along with the bill and receipt
- Time and place for inspection of the sample and delivery of goods
- Information of his/her rights to cancel the order and/or opportunity to return the product in saleable condition and avail full refund on sums paid/income paid
- Details regarding the complaint's redressal mechanism

- The use, features and characteristics of the Ceylonika products
- The income opportunity Ceylonika offers (in terms of e.g. time and easiness to reach levels, expected amounts earned at each level and generally the easiness and likelihood of being successful – remember, it all depends on the time and effort one is willing to put in and individuals personal skills)
- Your own success and experience with Ceylonika or use someone else's statement of success which is not true or which is misleading
- DO NOT: Lie, be aggressive, intrusive or disrespectful
- DO NOT: Hesitate to tell your contact if you do not have, or are not sure about the answer to her question and contact the Ceylonika Sales Support to clarify the question; then return to her with a correct answer
- DO NOT: Use improperly or without the required authorization the personal data of customers, other Ceylonika Consultants and or potential Ceylonika members
- DO NOT: Use comparisons with other companies which are not based on facts that cannot be verified
- DO NOT: Unfairly damage the reputation of another company or systematically entice or solicit the sales force of another company
- DO NOT: Induce a person to purchase goods based on a statement the person can reduce or recover the purchase price by referring other customers to you for similar purchases
